All services are provided on a business-to-business (B2B) basis unless expressly agreed otherwise in writing.

4. Client Responsibilities

Clients agree to:

• Use our services lawfully
• Maintain confidentiality of any access credentials

We reserve the right to suspend services where misuse or unlawful activity is suspected.

5. Fees and Payments

• Invoices are payable within the stated payment terms
• Late payments may result in service suspension
• All fees are non-refundable once services have been delivered

6. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or commercial information received during the course of the relationship.

7. Data Protection

We process personal data in accordance with UK GDPR and our Privacy Policy.

Where we act as a data processor on behalf of clients, the client remains the data controller unless otherwise agreed.

Clients are responsible for ensuring they have lawful grounds to share personal data with us.

8. Limitation of Liability

To the fullest extent permitted by law:

• Lets Outsource Ltd shall not be liable for any indirect, incidental, or consequential losses
• Our total liability shall not exceed the fees paid for the relevant services in the preceding 3 months

Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence.

9. Service Availability

While we aim to provide continuous service, we do not guarantee uninterrupted availability.

We may suspend services for maintenance, security, or operational reasons where reasonably necessary.

10. Intellectual Property

All website content, branding, and materials remain the property of Lets Outsource Ltd unless otherwise stated.

Clients retain ownership of their own business data and materials.

11. Termination

Either party may terminate services in accordance with agreed contractual terms.

We reserve the right to terminate or suspend services immediately where:

• There is breach of these Terms
• Unlawful activity is suspected
• Required compliance checks cannot be satisfied

12. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
